Bei der Gr\u00fcndung der AG muss eine Satzung beschlossen werden (notarielle Beurkundung). Die AG entsteht wie die GmbH mit der Eintragung in das Firmenbuch. Das Grundkapital der AG betr\u00e4gt mindestens EUR 70.000 und ist durch Zeichnung der Aktien durch die Gesellschafter (Aktion\u00e4re) aufzubringen. Dar\u00fcber hinaus haften die Aktion\u00e4re nicht f\u00fcr die Verbindlichkeiten der AG. Die zwingenden Organe einer AG sind: Vorstand, Aufsichtsrat und Hauptversammlung. Die Willensbildung der Aktion\u00e4re erfolgt in der Hauptversammlung, die auch die Mitglieder des Aufsichtsrats w\u00e4hlt.
